Romania validated the ATE Bank Romania Retail Lending Norm drafted
according to the provisions of NBR Rule 3/2007.

In 2006 ATE Bank
Greece has initiated the acquisition process for Banca pentru Mica
Industrie si Libera Initiativa Mindbank SA`s stock. Consequently, by
the end of 2006 ATE Bank Greece became the owner of 69.01% of
Mindbank`s assets.
In March 2007 the
Shareholders General Assembly decided, among other things, to change
the name of the bank in ATE Bank Romania, to increase the share
capital, to approve the action plan and to change the Statutory
Document. Concomitantly, the members of the new Board of Directors were
elected and, subsequently, were appointed the president of the Board of
Directors and the new general managers.
ATE Bank Romania is incorporated within Romanian Trade Registry under
the number J40/ 456/ 19.12.1992, its CUI is 1596646 and its head office
in Bucharest - 1, Calea Grivitei, 24.

On March 29, 2007
the Ordinary and Extraordinary Shareholders General Assemblies and
Board of Directors meeting were held.
The Ordinary Shareholders General Assembly approved:
- the bank`s
financial reports for 2006, including the administrators
responsibilities relieves;
- the appointment
of Mrs. Alina Pascu as the bank administrator;
- the appointment
of Ernst & Young as the bank`s external financial auditor;
- the bank`s action
plan for 2007.
The Extraordinary
Shareholders General Assembly approved:
- the amendments of
the bank`s Statutory Document,
- the increase of
the bank`s share capital with 68.175.868 RON, from 47.824.132 RON up to
116.000.000 RON,
- the reimbursement
of the USD 5.000.000 loan granted by Bahman General Trading &
Consulting Co.
The Board of
Directors approved:
- the appointment
of Mr. Dimitrios Miliakos - ATEBank Greece Governor as the President of
the Board of Directors,
- the appointment
of Mr. Sergiu Ioan Manea as General Manager and Mr. Epameninondas
Papanikolaou and Mrs. Alina Pascu as Deputy General Manager of the bank.
